Please read these Terms of Service carefully before using TagLogix. By accessing or using our service, you agree to be bound by these terms. If you do not agree, do not use the service.

01 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and TagLogix ("TagLogix," "we," "us," or "our") governing your access to and use of the TagLogix platform, including our web dashboard, mobile application, and related services (collectively, the "Service").

By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

These Terms apply to all users accessing the Service through your account, including administrators, employees, and contractors.

02 Description of Service

TagLogix provides a cloud-based software-as-a-service (SaaS) platform for digital lockout/tagout (LOTO) compliance documentation. The Service enables industrial facilities to log and track digital lockout/tagout events, generate compliance reports, manage multiple registered devices within a tenant account, and export documentation in PDF and other formats.

TagLogix reserves the right to modify, suspend, or discontinue any aspect of the Service at any time. We will endeavour to provide at least 30 days' notice to active subscribers before any material changes or discontinuation of the Service.

03 Account Registration

To access the Service, you must register for an account by providing accurate, current, and complete information. You agree to maintain the confidentiality of your account credentials — including passwords and API keys — and accept responsibility for all activity that occurs under your account. You must notify TagLogix immediately of any unauthorized use or security breach.

Each registered device is assigned a unique API key. You are solely responsible for securing these keys. TagLogix reserves the right to refuse registration or cancel accounts at our discretion.

04 Subscription & Billing

Plans and Pricing. TagLogix offers subscription plans as described on our pricing page. Current pricing is: Starter at $10/month (1 device), Pro at $449/month (up to 50 devices), and Enterprise at $899/month (up to 100 devices). All fees are in Canadian dollars (CAD) unless otherwise stated. Pricing may change with 30 days' written notice to existing subscribers.

Billing Cycle. Subscriptions are billed monthly in advance on the anniversary of your subscription start date.

Payment. You authorize TagLogix to charge your designated payment method for all fees incurred. If payment fails, we may suspend access until outstanding balances are resolved.

Refunds. All fees are non-refundable except where required by applicable law. Cancellation takes effect at the end of the current billing period with no partial-month refunds.

Taxes. All fees are exclusive of applicable sales taxes, HST/GST, or similar taxes, for which you are responsible.

Device Limits. Devices beyond your plan's limit will be refused registration. TagLogix does not automatically upgrade your plan — you must upgrade manually to accommodate additional devices.

05 Acceptable Use

You agree to use the Service only for lawful purposes. You agree not to: violate applicable laws or regulations; transmit malicious code or spam; attempt unauthorized access to any system or data; reverse engineer or decompile the Service; use automated bots or scrapers not permitted by TagLogix; sublicense or resell access without our written permission; or upload content that infringes third-party intellectual property rights.

TagLogix reserves the right to investigate violations and take appropriate action, including suspending or terminating accounts and reporting activity to law enforcement.

06 Data & Privacy

Your Data. You retain full ownership of all data you submit to the Service ("Customer Data"), including employee records, lockout/tagout logs, and compliance documentation. TagLogix does not claim ownership of your Customer Data and does not sell it to third parties.

Data Isolation. Each tenant account is stored in an isolated database environment inaccessible to other customers.

Data Retention. We retain Customer Data for the duration of your subscription and up to 90 days following termination, after which it may be permanently deleted. You are responsible for exporting any data you wish to retain before cancellation.

Security. TagLogix implements commercially reasonable measures to protect Customer Data, but cannot guarantee absolute security. Our full data practices are described in our Privacy Policy, which is incorporated into these Terms by reference.

07 Intellectual Property

The Service — including all software, interfaces, designs, logos, and trademarks provided by TagLogix — is the exclusive property of TagLogix, protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes during your active subscription.

If you provide feedback or suggestions regarding the Service, you grant TagLogix a perpetual, irrevocable, royalty-free license to use that feedback without compensation. Nothing in these Terms transfers ownership of intellectual property from either party to the other.

08 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, TagLogix expressly disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. TagLogix does not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service or its servers are free of viruses or harmful components. Your use of the Service is at your sole risk.

09 Limitation of Liability

To the fullest extent permitted by law, TagLogix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill; costs of substitute services; damages from workplace accidents, injuries, or regulatory non-compliance; or losses from service interruptions or unauthorized account access.

TagLogix's total aggregate liability shall not exceed the greater of (a) fees paid in the three months preceding the claim, or (b) CAD $100.00. These limitations apply regardless of legal theory, even if TagLogix has been advised of the possibility of such damages.

10 Safety Disclaimer

TAGLOGIX IS A COMPLIANCE DOCUMENTATION TOOL ONLY. IT IS NOT A PHYSICAL SAFETY SYSTEM AND DOES NOT REPLACE PROPER LOCKOUT/TAGOUT PROCEDURES, EQUIPMENT, OR TRAINING.

The Service does not physically prevent equipment from being energized, does not verify that physical locks or tags are in place, and does not monitor real-time equipment status. You are solely responsible for complying with all applicable occupational health and safety legislation, ensuring trained personnel conduct all physical LOTO procedures, providing adequate employee training, maintaining LOTO equipment, and verifying that digital records accurately reflect real-world lockout status.

TagLogix shall not be liable for workplace injuries, fatalities, regulatory fines, or other losses arising from reliance on the Service as a substitute for proper physical lockout/tagout procedures or safety training.

11 Termination

By You. You may cancel your subscription at any time by contacting TagLogix support. Cancellation takes effect at the end of the current billing period and you remain responsible for fees incurred prior to cancellation.

By TagLogix. TagLogix may suspend or terminate your account immediately and without notice for breach of these Terms, failure to pay fees, actions that pose a security risk, or as required by law. We may also terminate accounts with 30 days' written notice for any reason.

Provisions that by their nature should survive termination — including intellectual property, limitation of liability, disclaimers, and governing law — shall survive.

12 Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions. Disputes shall first be submitted to good-faith negotiation. If unresolved within 30 days, either party may submit to binding arbitration in Ontario. Either party may seek injunctive relief in a court of competent jurisdiction. All proceedings will be conducted on an individual basis; class actions are waived to the extent permitted by law.

13 Changes to Terms

TagLogix may modify these Terms at any time. Material changes will be communicated by email to the address on your account, by a notice in the Service dashboard, and by updating the "Last Updated" date above. Changes take effect 14 days after notification (immediately for changes required by law). Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
